1. Acceptance of These Terms
By creating an account, accessing the dashboard, or generating any payroll document through BiznisEasy Payroll ("we," "us," "our," or the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.
2. Description of the Service
BiznisEasy Payroll is a payroll calculation and recordkeeping platform for Florida small businesses. The Service helps you calculate gross and net pay, withhold federal and Florida taxes, and generate printable pay stubs and voucher-check PDFs. The Service operates in calculation and recordkeeping mode only. We do not file taxes on your behalf, move money, execute direct deposits, or act as your payroll provider, bank, or agent.
3. Eligibility and Business Verification
You must be an authorized representative of the business you register, be at least 18 years old, and have the legal authority to enter into contracts on its behalf. Unverified businesses may only generate watermarked demo documents. To produce unwatermarked pay stubs and checks, you must complete business verification, which includes providing a valid Employer Identification Number (EIN), a physical business address, and at least one active paid subscription. We may reject or revoke verification at any time to prevent fraud or misuse.
4. Your Account and Security
You are responsible for safeguarding your login credentials and for all activity under your account. You must keep employee Social Security numbers, addresses, and compensation data secure. We protect data with row-level security so that one business cannot access another's records, and we maintain an audit log of sensitive payroll actions. Notify us immediately of any unauthorized access.
5. Acceptable Use
You agree not to use the Service to generate fraudulent, misleading, or fictitious payroll documents; to verify income for employment, credit, rental, or loan purposes using documents you know to be inaccurate; to attempt to access another business's data; or to reverse-engineer, scrape, or disrupt the Service. Generating income documents for individuals who did not perform the stated work is strictly prohibited.
6. Payroll Calculations and Accuracy
While our calculations use integer-cents arithmetic and current federal and Florida tax logic, tax laws change frequently. You are responsible for reviewing every paycheck for accuracy before issuing it. We provide tax summaries and 1099 forms as recordkeeping aids, but you remain responsible for all filings, deposits, and payments to tax authorities. The Service is not a substitute for a licensed accountant or payroll professional.
7. Subscriptions and Billing
Paid plans are billed monthly plus a per-worker fee. Checkout is processed by Stripe. You authorize recurring charges until you cancel. Cancellation takes effect at the end of the current billing period; historical documents remain accessible in read-only mode. The "Full Service" plan (direct deposit and tax filing) is not yet available and cannot be purchased until those capabilities are integrated and tested.
8. Data Ownership and Privacy
You own your business and employee data. We process it solely to provide the Service. See our Privacy Policy for how we collect, store, and protect information.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that calculations are error-free, that the Service will be uninterrupted, or that it meets your specific compliance requirements.
10. Limitation of Liability
To the maximum extent permitted by law, BiznisEasy Payroll shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, tax penalties, employee claims, or regulatory fines arising from your use of the Service, even if advised of the possibility. Our total liability is limited to the amount you paid us in the three months preceding the claim.
11. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your payroll data, your use of the Service, your violation of these Terms, or your breach of applicable employment or tax laws.
12. Termination
You may cancel at any time. We may suspend or terminate your account for non-payment, fraud, or violation of these Terms. Upon termination, your data is retained for 90 days then permanently deleted, except where law requires longer retention.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute will be resolved in the courts located in Florida.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via the app or email. Continued use after changes constitutes acceptance.
